Terms of Service

1. Who we are and what these terms cover

Samuri is operated by Samuri, LLC (“Samuri”, “we”, “us”). These Terms of Service govern your use of the Samuri mobile app, the website at samuriapp.com, and everything we offer through them (the “Service”). Our Privacy Policy explains how we handle your personal information and forms part of these terms.

If you do not agree to these terms, do not use the Service.

2. Eligibility

You must be at least 18 years old and legally able to enter into a contract to use Samuri. You may hold one account. Contests may be restricted in some jurisdictions; we may limit or refuse access where we are required to, and prizes are void where prohibited.

3. Your account

• Give us accurate information when you sign up, and keep it current.
• You are responsible for what happens on your account. Keep your credentials secure and tell us promptly if you think someone else has access.
• Creating additional accounts to enter a contest more than once is a violation of these terms and grounds for forfeiting prizes and closing every account involved.
• You can delete your account at any time from within the app.

4. Contests

Free to enter

Samuri contests are free to enter. No purchase is necessary, and no purchase will improve your chance of winning. There is no entry fee and no wager. Contests are games of skill in which entrants predict outcomes in a creator’s content.

How entry works

• Entry requires completing the action the contest specifies — typically subscribing to the host’s channel — which we verify with the relevant platform. An entry that cannot be verified does not qualify.
• You may change your answers until the contest locks. Contests lock when the associated video or event begins.
• Scoring is determined by the rules shown on the contest, applied to the outcomes the host records. Ranking, tie-breaking, and final standings are determined by us and are final.
• We may void an entry, disqualify an entrant, or cancel a contest where there is fraud, manipulation, a technical failure, or a violation of these terms.

Hosting a contest

If you host a contest, you additionally agree that:

• You own or are authorized to represent the channel the contest is anchored to, and you have the rights to the content and materials you upload.
• You are responsible for the prize you offer: describing it accurately, funding it, and — for non-cash prizes — delivering it to the winner. Cash prizes must be funded in advance through the Service.
• Your contest must comply with applicable law and with the rules of any platform it references, including YouTube.
• You will not use the Service to run anything that requires payment or consideration to enter.

5. Prizes and payouts

• Cash prizes are pre-funded by the host, held by us, and credited to the winner’s Samuri wallet after the contest completes and the result is final.
• Before a cash payout, we verify identity and age. We may withhold a payout while verification is pending, and we may refuse it where verification fails or where the entry violated these terms.
• You are responsible for any taxes on a prize you receive. Where the law requires it, we will collect tax information and report payments to the relevant authority.
• Non-cash prizes are provided by the host, not by Samuri. We will help resolve problems, but the host is responsible for fulfillment.
• Prizes are not transferable and have no cash value except as stated by the host.

6. Acceptable use

You agree not to:

• Create multiple accounts, or use bots, scripts, or automation to enter contests.
• Manipulate a contest result, collude with other entrants, or exploit a bug rather than reporting it.
• Post or transmit anything unlawful, hateful, harassing, deceptive, or infringing of someone else’s rights.
• Interfere with the Service, attempt to access accounts or data that are not yours, or probe our systems without written permission.
• Scrape, resell, or commercially exploit the Service or its content except as we expressly permit.
• Misrepresent your identity, your age, or your affiliation with a channel or brand.

7. Content

You keep ownership of what you submit. By submitting content you grant us a worldwide, non-exclusive, royalty-free license to host, store, display, and distribute it as needed to operate and promote the Service. You confirm you have the rights to grant this license. We may remove content that violates these terms.

The Samuri name, logo, software, and design are ours and are protected by intellectual property law. These terms do not grant you any right to use them beyond using the Service.

8. Third-party services

Samuri connects to third-party services, including YouTube API Services. Your use of those services is governed by their own terms — for YouTube, the YouTube Terms of Service. We are not responsible for third-party services, and we may lose access to a platform feature in ways that affect the Service.

9. Suspension and termination

We may suspend or close your account, withhold or reverse a prize, and stop providing the Service if you breach these terms, if we suspect fraud, or if we are required to by law. You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination — including prize obligations already incurred, disclaimers, limitations of liability, and dispute resolution — do survive.

10. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that scoring or verification will always be free of defect.

11. Limitation of liability

To the fullest extent permitted by law, Samuri, LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the twelve months before the claim (which, for players, is ordinarily nothing) or one hundred United States dollars.

Some jurisdictions do not allow these exclusions, in which case they apply to you only to the extent permitted.

12. Indemnity

You agree to indemnify and hold Samuri, LLC harmless from claims, losses, and expenses arising out of your use of the Service, your content, a contest you host, or your breach of these terms.

13. Governing law and disputes

These terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict of laws rules. You and Samuri, LLC agree to try to resolve any dispute informally first by contacting nince@samuriapp.com. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in North Carolina, and both parties consent to the jurisdiction of those courts.

14. Changes to these terms

We may update these terms as the Service changes. When a change is material, we will update the date above and give you notice in the app or by email. Continuing to use the Service after a change takes effect means you accept the updated terms.
